Members in Business Advertising Discount Agreement

ZIWC members wishing to advertise in the Club Newsletter, Membership Directory and/or Website are offered a 50% discount on the prevailing full prices of adverts subject to the following:

 

  • Only fully paid up members of ZIWC are entitled to the above discount.
  • ZIWC Terms and Conditions are accepted by the Member upon agreement of advertising within the Club.
  • Payment terms for all invoices shall be strictly applied. Failure to comply shall result in loss of member discount. 
General Advertising Terms & Condition

This order for advertising space is entered between:

Zug International Women’s Club, 6300 Zug, a non-profit social organization with its seat in Zug (hereby known as “ZIWC”) and The ADVERTISER, with name and address as entered on the order form, commencing on the date of signature.

Prices

The prices of the advertisements are as indicated on the order form. All prices are in Swiss Francs (chf). Unless otherwise agreed to in writing, ZIWC reserves the right to change its pricing within a sixty (60) day period with advanced written notice to the ADVERTISER. If the ADVERTISER does not accept a pricing modification as advised, he may terminate this agreement without liability by providing notification in writing to ZIWC within thirty (30) days of receipt of a notice advising of a price increase.

Invoicing

Unless agreed otherwise, all invoices will be sent and dated in the month of the issue of said Newsletter, Membership Directory, or placement on the ZIWC official website, whichever is applicable.

Payment

The ADVERTISER will make payment within thirty days of the date of the invoice.

Any amount not paid by the ADVERTISER within the agreed period shall (a) result in the loss of any discount and (b) bear simple interest commencing from the due date up to and including the final date of payment. Interest charged shall be at the prevailing rate as stated by PostFinance. (eg. 9.5% as at 1 March 2016)

Termination

(a) Notwithstanding any point to the contrary, express or implied elsewhere in the agreement and without prejudice to its other rights, either party may terminate this Agreement, with or without cause, by giving the other Party sixty (60) days’ written notice of its intention to do so.

(b) If ZIWC has any reason to doubt the continuing ability of the Advertiser to perform its obligations hereunder, ZIWC may suspend the services provided until Advertiser has either agreed to make payment in advance for future services or has provided such other security as ZIWC, in its absolute discretion, may require.

(c) If the Advertiser should fail to pay the whole of the price for the services provided in accordance with the terms of this Agreement within sixty (60) days of receipt of an invoice, ZIWC may terminate the Agreement, by written notice to the Advertiser, without prejudice to any right of action, or claim accrued at the date of termination.

Governing Law and Jurisdiction

This contract is governed by Swiss law. The courts of Zug shall have exclusive jurisdiction over any disputes arising from the operation of this contract.

Limitation of Liability

The ADVERTISER accepts full responsibility for the appropriateness of the message content and shall indemnify and hold harmless ZIWC and its officers from and against any damages, and any reasonable costs or expenses incurred in connection with any claims by a third party with regard to copyright infringement or any type of intellectual property claims, defamation claims, claims of infringement of data protection, privacy, criminal or other legislation, without limitation, all of the preceding claims involving the content of the ADVERTISER.

Except as explicitly provided for in this agreement, ZIWC shall not in any event, including any negligent act or omission on its part, be liable to the other party whether under the agreement or otherwise in connection with it, in contract, tort, breach of statutory duty or otherwise, for any indirect, incidental, punitive, special or consequential cost, losses and/or damages of any kind, whether or not foreseeable.
